CREATIVE PRODUCTS Affiliate Agreement

This agreement describes the terms and conditions for participation in the CREATIVE PRODUCTS Affiliate Program. CREATIVE PRODUCTS and the www.CProducts.com Website are owned and operated by CREATIVE PRODUCTS, LLC. The terms "affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to CREATIVE PRODUCTS and/or CREATIVE PRODUCTS, LLC, as applicable under the circumstances. CREATIVE PRODUCTS and its affiliates are independent parties, and this agreement will not form any partnership.

COMMISSIONS
You will receive a percentage of the product revenue per sale as a commission from orders referred from your approved Affiliate Website. The referral fee rate is based upon the category of the product sold, as well as the total product sales per month that you refer. The current referral fee rates are shown in the table below:

For a sale to generate a commission to an Affiliate, the referred customer must complete and submit the CREATIVE PRODUCTS online order form within 45 days of clicking on a link from an approved Affiliate Website, remit full payment for the products ordered, and have their products shipped. The total product sales (regardless of product category) made in a calendar month from your referrals will determine your referral fee rate tier for that month. Once a higher referral fee rate tier is achieved within the calendar month, the higher referral fee rates will apply to all of your referred product sales during that calendar month.

Products are categorized by CREATIVE PRODUCTS, and can generally be determined by an Affiliate through browsing the CREATIVE PRODUCTS Website as follows:

As Seen on TV: All products displayed within the As Seen on TV Products category. Product numbers begin with "SD-" or "DS-".
Nutrition: All products displayed within the Nutritional Supplements category. Product numbers begin with "ES-" or "VP-".
General Merchandise: All products displayed within the Gifts, Leather Apparel & Housewares category. Product numbers begin with "BF-".
Electronics: All non-small appliance or non-computer products displayed within the Electronics & Appliances category. Product numbers begin with "DH-".
Small Appliances: All small appliance products displayed within the Electronics & Appliances category. Product numbers begin with "DH-".
Computers: All computer products displayed within the Electronics & Appliances category. Product numbers begin with "DH-".

Referral fees can only be earned between the acceptance of the Affiliate application and notice of termination. Fees will typically be paid within twenty (20) business days after the end of an applicable month. No fees will be issued for any amounts less than $25. Any amounts less than $25 will carry over to the next month. Any cancelled orders, chargebacks, or fees from returned orders will be adjusted in the following fee payment. If no fee payment is due, a billing invoice for the adjusted amount may be issued.

Affiliates must have an active link or links to the CREATIVE PRODUCTS Website on their approved Website(s).

RESTRICTIONS
CREATIVE PRODUCTS reserves the right not to accept any Affiliate Website into the CREATIVE PRODUCTS Affiliate Program based on Website content. We accept only sites that are in English and based for US traffic, as we serve US customers and ship only within the United States. Websites that Do Not Qualify for the CREATIVE PRODUCTS Affiliate Program include Websites that:

utilize incentives to promote clicks,
automatically redirect to another site,
utilize excessive pop-ups, pop-unders, or exit consoles,
promote sexually explicit materials,
promote violence or discord,
promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age,
promote illegal or questionable activities, or
violate intellectual property rights.

You may download any image from our Website for use in promoting us on your approved Website(s), but we do not allow hotlinking. You must first download any desired images, and then host them on your own Web server/hosting account.

SPAM (UCE)
CREATIVE PRODUCTS in no way participates in mass unsolicited commercial e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the CREATIVE PRODUCTS Affiliate Program, with no payment of outstanding commissions.

ORDER PROCESSING
CREATIVE PRODUCTS will be solely responsible for processing every order placed by a customer on the CREATIVE PRODUCTS Website. Customers who purchase products and services through the CREATIVE PRODUCTS Website will be deemed to be customers of CREATIVE PRODUCTS. Prices and availability of our products and services may vary from time to time. CREATIVE PRODUCTS’ policies will always determine the price paid by the customer. We reserve the right to reject any order that does not comply with our rules, operating procedures, and policies.

DISCLAIMER AND LIMITATION OF LIABILITY
We make no express or implied warranties or representations with respect to the CREATIVE PRODUCTS Affiliate Program or your potential to earn income from the CREATIVE PRODUCTS Affiliate Program. In addition, we make no representation that the operation of our Website or the Affiliate Websites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time.

This Agreement will be governed by the laws of the United States and the State of New Jersey, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in the State of New Jersey, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

AGREEMENT DURATION
This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination.

MODIFICATION
By posting a Change Notice or a new agreement on this Website, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change.

ACKNOWLEDGEMENT
By applying to the CREATIVE PRODUCTS Affiliate Program, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
